1.     ELIGIBILITY: The throtl Dream Build Q4 Contest (“Contest’) is open only to legal residents of the contiguous United States and the District of Columbia, who are eighteen (18) years of age or older at the time of entry. Employees, officers and directors of throtl Inc. (“Sponsor”) , and any of its subsidiaries and affiliates, Turn 5, Inc., Realtime Media LLC (the “Administrator”), their respective parent companies, affiliates, subsidiaries, advertising, promotion, and fulfillment and marketing agencies, (collectively, “Contest Parties”) their immediate families (parent, child, sibling & spouse and their respective spouses, regardless of where they reside) and persons living in the same households as such individuals (whether related or not) are not eligible to participate in the Contest. By participating, you agree to these Official Rules and to the decisions of the judges and Sponsor, which are final and binding in all respects. Void and where prohibited by law, rule or regulation. 2.     TIMING: The Contest entry period begins at 12:00 a.m. (midnight) Eastern Time (“ET”) on November 8, 2025 and ends at 11:59:59 p.m. ET on January 30, 2026 (“Entry Period”). Twenty (20) finalist entries will be selected by random drawing and will then be judged using the process described below from February 10, 2026 to February 16, 2026 (“Judging Period”). The one (1) potential winner will be notified on or about February 16, 2026. The designated computer clock of the Sponsor is the official time-keeping device in the Contest.

3.     HOW TO PARTICIPATE: There are multiple ways to enter, if you are eligible per Section 1 above.

A.    throtl VIP Membership: Eligible individuals who purchase a throtl VIP membership at www.throtl.com to become a VIP Member (“VIP Member”).  Gold members will receive fifty (50) entries per month of membership during the Entry Period and silver members will receive twenty-five (25) entries per month of membership during the Entry Period.  This is limited to one (1) membership per person.

B.    Purchase: During the Entry Period non-VIP members may earn entries by making qualifying purchases from www.throtl.com (“Website”). If you have not signed up for a VIP membership, you are considered a Non-VIP member. During the Entry Period you will automatically earn one (1) entry for every whole $1 spent on an eligible purchase on the Website. The number of entries you receive will be based on the list price of your eligible purchase (excludes sales tax and shipping/handling charges), less any credits or discounts. For example a $22 purchase (before tax, and after any credits or discounts) will earn 22 entries. If a purchase is returned prior to the drawing, entries associated with that purchase will be voided and excluded from the drawing. All purchases are subject to Sponsor’s return policy. Your purchase transaction must be completed by 11:59:59 p.m. ET on January 30, 2026 to be eligible to receive entries and is subject to verification by Sponsor. Eligible VIP Members who make a product purchase from the website during the Entry Period will receive (5) entries per $1 spent, equivalent to 5x the entries of a Non-VIP member.

Extra Entry Periods (at Sponsor’s discretion): Throughout the Entry Period, the Sponsor, at its sole discretion, may announce on www.throtl.com, and/or on its social media pages, opportunities to earn additional entries (for example, “2X” entries, “3X” entries or “10X” entries), via a purchase of select brands or the entire website catalog (each, a “Multiplier Period”). The multiplier on entries may vary based on the identified participating products and/or VIP membership. Exact details will be provided in the announcement, including Multiplier Period dates, exact multiplier amount, and eligible products.

Once you have completed a purchase at the Website, as set forth in these Subsections A or B above, follow the on-screen instructions to complete the Dream Build Contest entry form in your account, including a description of why you believe you should be the next Dream Build winner, information on your vehicle, and upload photographs of your vehicle (your “Vehicle Entry”).

NOTE: ANY FRAUDULENT ACTIVITY IN CONNECTION WITH THIS CONTEST IS STRICTLY PROHIBITED. IT IS FRAUDULENT TO PURCHASE ITEMS TO OBTAIN ENTRIES WITH THE INTENT TO RETURN THESE ITEMS AFTER THE CONTEST ENDS.

C.    Mail-In Entry: To enter without making a purchase at the Website, legibly hand-print your Full Name, Full Mailing Address (no P.O. Boxes), Email address, Phone Number, Date of Birth, Vehicle Year, Vehicle Make and Vehicle Model) with the true and correct information, and the URL where a photo (or photos) of the exterior of your vehicle can be found online, on a either a postcard or a plain 3x5 inch paper or card (your “Vehicle Entry”). The car in the photo must belong to you. Mail your completed entry to throtl Inc., Attn: throtl Dream Build Q4 Contest Entry, 302 Washington Street #102, San Diego CA 92103. Each mail-in entry must be mailed separately, and either be a postcard or in a hand-addressed, stamped envelope. No photocopied or mechanically reproduced entries will be accepted. Sponsor is not responsible for postage-due entries or for any incorrect or illegible data contained in any Contest entry. Mailed-in entries must be postmarked no later than January 30, 2026, and received by February 4, 2026, to be eligible for the Contest. All mailed entries become the property of Sponsor and will not be returned or acknowledged. If you take the steps above, you will receive twenty-five (25) entries into the Contest.

To earn 10X entries without purchase (250 entries per mail-in), follow the instructions above for your mail-in entry and hand write the words “10X entry” on the lower right-hand corner of postcard. Your mail-in entry must have a postmark date that corresponds to a 10X Entry Period and be received within seven (7) days of the 10X Entry Period’s deadline, as communicated on www.throtl.com, and/or on Sponsor’s social media pages.

If it is discovered that you have entered, attempted to enter, or used multiple accounts to enter, you will be disqualified at the discretion of the Sponsor and/or your entries will be void. Entries generated by script, macro or other automated means, which subvert the entry process, are void.

By submitting a Vehicle Entry, you hereby grant permission for your Vehicle Entry to be posted on throtl.com or other websites. You agree that Contest Parties are not responsible for any unauthorized use of Vehicle Entry by third parties. Contest Parties do not guarantee the posting of any Vehicle Entry, nor that the posting of any such Vehicle Entry indicates winning status. You agree that you will not use the Vehicle Entry for any other purpose, including, without limitation, posting the Vehicle Entry to any online social networks (other than for entry into this Contest), without the express consent of Sponsor in each instance.       

By submitting a Vehicle Entry, you hereby agree to these Official Rules, and you represent and warrant that the work submitted is original to you, and that neither it nor its contents infringe upon or violate the rights of any third party. If your Vehicle Entry includes likenesses of third parties or contains elements not owned by you, you must be able to provide legal releases for such use in a form satisfactory to Sponsor (if requested) or your Vehicle Entry may be disqualified. Vehicle Entries may not defame or invade the publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person’s personal or proprietary rights.

4.     SELECTION OF THE FINALISTS & ODDS: On or about February 10, 2026, the Administrator will conduct a random drawing to select twenty (20) potential finalists (each, a “Finalist”) from among all eligible entries received in accordance with these Official Rules. The odds of being selected as a Finalist depend on the total number of eligible entries received during the Entry Period. A Finalist’s Vehicle Entry that does not contain all required entry information or is considered inappropriate for any reason is not eligible, and an alternate potential Finalist will be selected. 

5.     JUDGING AND WINNER SELECTION: During the Judging Period, a panel of judges, selected by the Sponsor, in its sole discretion, will score each Finalist’s Vehicle Entry up to the maximum number of points allowed. Judging will be based on the following criteria: 

·         Market/Business Fit (33%) 

·         Current State of Car (33%) 

·         Modability and Potential (34%) 

The one (1) Vehicle Entry with the highest score from the Judges will be deemed the potential winner. In the event of a tie, the Vehicle Entry with the highest score for Current State of Car (between or among the tied Vehicle Entries) will be the winner of the tie. If a tie remains, the Vehicle Entry with the highest score for Modability and Potential (between or among the tied Vehicle Entries) will be the winner of the tie. In the event a tie still remains, an additional “tie-breaking” a judge will be brought in to evaluate the tied Vehicle Entries, based on the Judging Criteria above. Sponsor reserves the right not to award the prize if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Vehicle Entries. Prize award is subject to verification of eligibility and compliance with these Official Rules. Decisions of the Judges and Sponsor as to the determination of the winner are final.

6.     WINNER NOTIFICATION: Sponsor will have complete discretion over interpretation of the Official Rules and of the administration of the Contest. The potential winner will be notified by email within forty-eight hours following the end of the Judging Period and will be required to take all necessary steps to claim the prize. As part of the verification process, the potential winner must complete and submit a Declaration and Release Form (“Declaration”) confirming compliance with the Official Rules within forty-eight (48) hours of the Sponsor’s timestamp of notification. Sponsor shall have no liability for potential winner’s failure to receive notices due to spam, junk email or other security settings or for potential winner’s provision of incorrect or otherwise non-functioning contact information. If the potential winner cannot be contacted, is ineligible, fails to take all of the required steps to claim the prize within forty-eight (48) hours from the time notification was sent, or fails to timely return the completed and executed Declaration as required, the prize may be forfeited and an alternate potential winner may be selected using the process described above. Parents or legal guardians of a potential winner who is under the age of nineteen (19) in Alabama or Nebraska may be required to also sign the Declaration in order for the potential winner to be qualified to receive the prize. Prize will be awarded only upon winner redemption, confirmation, verification, and final approval by Sponsor, as set forth above. No substitution, transfer of any prize or cash alternative permitted, except by Sponsor who reserves the right, in its sole discretion, to substitute a prize of equal or greater value, if prize, or portion of prize, becomes unavailable.

7.     PRIZE/PRIZE RESTRICTIONS: The one (1) winner will receive their choice of one (1) of the following prize options:

A.    Prize Option 1: An up to $20,000 makeover for throtl to customize and modify winner’s car depicted in the Entry (the “Vehicle”), Twenty Thousand and 00/100 dollars ($20,000 USD) made payable to the winner, round trip transportation of the Vehicle between the winner’s residence and San Diego, California, roundtrip coach class airfare for the winner and one (1) guest to San Diego, California, and two (2) nights hotel accommodation (single room, double occupancy) for the winner to attend an “unveiling” of the Vehicle makeover in San Diego, California. The approximate retail value (“ARV”) of Prize Option 1 is up to $40,000. The actual retail value of Prize Option 1 may vary depending on the elements required for the makeover, point of departure, travel dates and fare/rate fluctuations. If the actual value of Prize Option 1 is less than the stated ARV, the difference will not be awarded. All travel arrangements must be made through the Sponsor or Sponsor’s designee. Certain restrictions may apply; OR

B.    Prize Option 2: Forty Thousand and 00/100 dollars ($40,000 USD) made payable to the winner.

If the winner selects Prize Option 1, Sponsor will work with the winner through February 16 - March 16, 2025 to coordinate updates. Sponsor will complete Vehicle makeover/re-build through May 15, 2026. Vehicle will be presented to the winner on or about May 22, 2026. Sponsor will release a video documenting the Vehicle makeover/re-build on its website or other video platforms on or about June 12, 2026. Timelines provided above are estimates and may change due to events outside of the Sponsor’s control. All elements of the makeover are subject to availability.

All customization and modifications are considered “AS IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Actual value may differ based on modifications selected and fluctuations in the cost of supplies outside of Sponsor’s control. The Sponsor is not responsible for, and Winner will not receive the difference, if any, between the actual value of the prize at the time of award and the stated ARV in these Official Rules or in any Contest-related correspondence or material. The specifics of the prize shall be solely determined by the Sponsor

The winner understands and agrees that the makeover process, including any winner presentation of the Vehicle, will be videotaped/photographed. Rights to any prize ceremony video/photo belong solely to the Sponsor and can be used in any media at their sole discretion.

Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any prize-related services or accommodations. Sponsor is not liable for any missed events, opportunities or expenses incurred as a consequence of flight cancellation/delay or ground transportation delay. No refund or compensation will be made in the event of the cancellation or delay of any transportation or other prize element except at the sole and absolute discretion of Sponsor. Winner and guest are responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. The winner will be required to provide a credit card at the time of hotel check-in. Winner’s guest must execute liability/publicity releases prior to issuance of travel documents. Once a guest is selected, he/she may not be substituted, except in Sponsor’s sole and absolute discretion. Travel is subject to the terms and conditions set forth in these Terms & Conditions, and those set forth by Sponsor’s transportation carrier(s) of choice. Lost, stolen or damaged airline tickets, travel vouchers or certificates will not be replaced or exchanged. All expenses not specifically mentioned herein are not included as part of the prize package, and are solely the winner’s responsibility, including, but not limited to: hotel taxes, additional ground transportation at the winner’s destination, travel insurance, room service, bag check fees, parking fees, laundry service, food, alcoholic beverages, merchandise, souvenirs, telephone calls, tips, gratuities and service charges. Transportation carrier and hotel regulations and conditions apply. Travel and lodging are subject to availability, and any changes made to either of these by the winner will be at the expense of the winner.

8.     OWNERSHIP OF ENTRIES:  By submitting an Entry, you agree to be bound by these Official Rules and grant Sponsor an exclusive, fully paid-up and royalty-free, worldwide license to use, modify, delete from, add to, publicly perform, publicly display, reproduce and translate your Entry, including without limitation the right to distribute all or part of your Entry in any media formats through any media channels. By submitting an Entry, you consent to the use, by Sponsor, its affiliates, subsidiaries, parents, and licensees, of your name, likeness, and image, in connection with the Event and Sponsor’s related marketing activities, in any media or format now known or hereafter invented, in any and all locations, without any payment to or further approval from you. You agree that this consent is perpetual and cannot be revoked.  For uses beyond the consent that you grant above, you agree that Sponsor’s use of your personal data will be governed by the Privacy Policy posted on the Sponsor website.  With respect to photographs, entrant grants to Sponsor the sole and exclusive right to use, print, publish, distribute, create derivative works, license and sublicense any of these rights and to otherwise fully exploit said rights in any media now known or hereinafter invented throughout all Worlds now known or hereinafter discovered in perpetuity.  Sponsor may exercise the rights granted for the full term of copyright (including any renewals and extensions) provided by law in each country, under any copyright laws now or hereafter in force.

9.     MISCELLANEOUS: Contest Parties are not responsible for late, lost, incomplete, corrupted, stolen, garbled, damaged, delayed, undelivered or misdirected Entries, all of which are void. Online Entries will be considered to be entered by the authorized account holder of the email address submitted at time of entry, and he/she must comply with these Official Rules. The authorized account holder is deemed as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. By entering the Contest, you recognize and agree that the registration information provided by you will be made available to Sponsor; use of such information will be governed by Sponsor’s privacy policy found at https://throtl.com/policies/privacy-policy. Upon entering the Contest and/or accepting the prize, winner grants Sponsor the right to print, publish, broadcast, and use world-wide in any media now known or later developed, the winner's name, Entry, portrait, picture, voice, likeness, city and state of residence, and biographical information for any purpose, including but not limited to, in advertisements, publicity, and other communications, worldwide, in perpetuity, without additional compensation, notification or permission, except where prohibited by law.

10.  RELEASE: As a condition of entering the Contest, you agree that (1) under no circumstances will you be permitted to obtain awards for, and you hereby waives all rights to claim punitive, incidental, consequential or any other damages, and any claims, judgments or awards shall be limited to actual out-of-pocket expenses; (2) all causes of action arising out of or connected with this Contest, or any prizes awarded, shall be resolved individually, without resort to any form class action; and (3) in no event will you be entitled to receive attorneys’ fees. IN ADDITION TO THE RELEASE DESCRIBED BELOW, BY ENTERING THE CONTEST, YOU AGREE TO RELEASE, DISCHARGE AND HOLD HARMLESS CONTEST PARTIES AND THE RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES,  AGENTS, SUCCESSORS AND ASSIGNS OF EACH, FROM ANY AND ALL LIABILITY FOR ANY INJURY, LOSS, OR DAMAGE OF ANY KIND TO PERSONS, INCLUDING DEATH, OR PROPERTY, WHETHER DIRECT OR INDIRECT, WHICH MAY BE DUE TO OR ARISE OUT OF PARTICIPATION IN THE CONTEST OR ANY PORTION THEREOF, OR THE ACCEPTANCE, USE/MISUSE OR POSSESSION OF PRIZES, OR ANY PRIZE-RELATED TRAVEL OR ACTIVITY.

SPONSOR HEREBY DISCLAIMS, AND YOU WAIVE ALL CLAIMS RELATED TO, WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

You agree, as a condition of participation in this Contest, to release, discharge, indemnify and hold harmless the Contest Parties,  and each of their respective directors, officers, employees, agents, successors and assigns (collectively, “Released Parties”) from and against any and all liability, claims, costs (including attorneys’ fees), losses, damages, fines, or actions of any kind whatsoever for injuries, death, damages, or losses to persons or property or any other damage which may be sustained, in whole or in part, directly or indirectly, in connection with: (i) participation in any aspect of the Contest (including travel to/from any Contest activity, if any), (ii) the receipt, ownership, use or misuse of any prize awarded, including any travel associated with any prize, (iii) the Released Parties’ violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; (iv) entrant’s/nominator’s registration material on any related website, or (iv) any technical, electronic, typographical, human or other error in the printing, offering, selection, operation or announcement of any Contest activity and/or prize or the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment.

California Civil Code Section 1542 Waiver: In giving the releases set forth herein, which include claims which may be unknown at present, you hereby acknowledge that you have read and understand Section 1542 of the California Civil Code, which provides as follows: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” You hereby expressly waive and relinquish all rights and benefits under that section and any law or legal principle of similar effect in any jurisdiction with respect to your release of claims herein, including but not limited to the release of unknown and unsuspected claims hereunder.

11.  DISCLAIMER: Contest Parties are not responsible for technical, electronic, printing or typographical errors in these Official Rules or in any Contest-related materials. Sponsor reserves the right, in its sole discretion, to disqualify any individual that tampers with the entry process. Sponsor also reserves the right to terminate, suspend, cancel or modify the Contest and award the prizes for the Contest from among all eligible, non-suspect Entries received (i) as of the date of termination using the judging procedure outlined above if for any reason this Contest is not capable of running as planned due to any reason, including infection by computer virus, bugs, tampering, fraud, unauthorized intervention, technical failures or other causes that may corrupt or impair the integrity, fairness or proper play of the Contest. Contest Parties are not responsible or liable for any events which may cause errors and/or the Contest to be stopped, including but not limited to any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Entries, nor are they responsible for any problems or technical malfunction of any telephone, network or telephone lines, computer on-line systems, servers, or cable, satellite, or Internet Service Providers, computer equipment, software or any other failure of any email or Entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any web site, or any combination thereof, including any injury or damage to yours or any other person's computer relating to or resulting from participation in this Contest or downloading any materials in this Contest. Contest Parties are not responsible for computer, mechanical, technical, electronic, network or other errors or problems, including any errors or problems that may occur in connection with the administration of the Contest, the processing of Entries, or in any other Contest-related materials. Contest Parties may stop you from participating in this Contest if you violate Official Rules or act, in Sponsor’s sole discretion: (a) in a manner Sponsor determines to be not fair; (b) with an intent to annoy, threaten or harass any other entrant or the Sponsor; or (c) in any other disruptive manner. Should more prizes be awarded through a computer, hardware, or software malfunction, error or failure, or for any other reason, in any prize category, than are stated for that category in the Official Rules, Sponsor reserves the right to award only the number of prizes stated in the Official Rules for that category. In no event will more than one (1) prize be awarded in this Contest. CAUTION: ANY ACT OR ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, CONTEST PARTIES RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL(S) TO THE FULLEST EXTENT PERMITTED BY LAW.

12.  CHOICE OF LAW AND JURISDICTION: Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrants or winners, Sponsor, and Administrator in connection with this Contest, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of California or any other jurisdiction), which might otherwise cause the application of the laws of any jurisdiction other than the State of California. Any action seeking legal or equitable relief arising out of or relating to the Contest or these Official Rules shall be brought only in the courts of the State of California. You hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum non-convenience or lack of personal jurisdiction they may have.

13.  TAX INFORMATION: All federal, state, local, and other taxes on prizes and any other costs and expenses associated with prize acceptance and use not specified herein as being provided, are the sole responsibility of the applicable winner. A 1099 tax form will be issued to the winner for the actual value of the prize received.

14.  WINNER LIST: To receive the name of the prize winner, send a #10 self-addressed stamped envelope for receipt by April 6, 2026 to: throtl Dream Build Q4  Contest - Winner List Request, c/o Realtime Media, 2460 General Armistead Ave, STE 209, West Norriton, PA 19403.
