1.     ELIGIBILITY: The throtl Dream Build #11 Contest (“Contest’) is open only to legal residents of the contiguous United States (excluding Arizona, Iowa and Louisiana) and the District of Columbia, who are eighteen (18) years of age or older at the time of entry. Employees, officers and directors of throtl Inc. (“Sponsor”) , and any of its subsidiaries and affiliates, Realtime Media LLC (the “Administrator”), their respective parent companies, affiliates, subsidiaries, advertising, and fulfillment and marketing agencies, (collectively, “Contest Parties”) their immediate families (parent, child, sibling & spouse and their respective spouses, regardless of where they reside) and persons living in the same households as such individuals (whether related or not) are not eligible to participate in the Contest. By participating in the Contest, you release, discharge and hold harmless Contest Parties, Instagram, their respective parents, affiliates, subsidiaries, retailers, advertising and promotion agencies and the respective officers, directors, employees and agents of each of the foregoing, from any and all damages whether direct or indirect, which may be due to or arise out of participation in the Contest or any portion thereof, or the acceptance, use/misuse or possession of any prize. By participating, you agree to these Official Rules and to the decisions of the judges and Sponsor, which are final and binding in all respects. Void in Alaska, Arizona, Hawaii, Iowa, Louisiana, and where prohibited by law, rule or regulation. All federal, state and local laws and regulations apply.

2.     TIMING: The Contest entry period begins at 9:00 a.m. Eastern Time (“ET”) on June 20, 2025 and ends at 11:59:59 p.m. ET on August 1, 2025 (“Entry Period”). Entries will be judged using the process described below from August 2, 2025 to August 15, 2025 (“Judging Period”). The one (1) potential winner will be notified on or about August 15, 2025. The designated computer clock of the Sponsor is the official time-keeping device in the Contest. 

3.     HOW TO PARTICIPATE: There are two (2) ways to enter, if you are eligible per Section 1, above. 

A.    VIP Members Online Entry: To participate, if you are an active subscriber to one (1) or more throtl VIP memberships, go to throtl.com (the "Website") during the Entry Period to gain access to the Contest entry form (Google Form application only accessible to active throtl VIP members). For more information about paid VIP memberships visit throtl.com. Completely enter your information on the official Contest entry form (required fields include: Full Name, Full Mailing Address (no P.O. Boxes), Email address, Phone Number, Date of Birth, Vehicle Year, Vehicle Make and Vehicle Model) with the true and correct information. Next, log in to your Instagram account (must be set to “public”) and create a photo post showcasing the exterior of your car. The car in the photo must belong to you. Your post caption must include the hashtags #throtlDreamBuild11 and #Contest and must mention @throtl. Upon completing the Contest entry form and creating an Instagram post including the hashtags #throtlDreamBuild11 and #Contest and mentioning @throtl, you will receive one (1) entry into the Contest (your “Entry”). Sponsor may not see or receive entries that fail to strictly follow the posting instructions set forth in these Official Rules and Sponsor is not responsible for failure to see or receive an Entry.

B.    Mail-In Entry: To enter without being a throtl VIP member, legibly hand-print your Full Name, Full Mailing Address (no P.O. Boxes), Email address, Phone Number, Date of Birth, Vehicle Year, Vehicle Make and Vehicle Model) with the true and correct information, and the URL where a photo (or photos) of the exterior of your vehicle can be found online, on a either a postcard or a plain 3x5 inch paper or card. The car in the photo must belong to you. Mail your completed entry to throtl Inc., Attn: throtl Dream Build #11 Contest Entry, 302 Washington Street #102, San Diego CA 92103. Each mail-in entry must be mailed separately and either be a postcard or in a hand-addressed, stamped envelope. No photocopied or mechanically reproduced entries will be accepted. Sponsor is not responsible for postage-due entries or for any incorrect or illegible data contained in any Contest entry. Mailed-in entries must be postmarked no later than August 1, 2025, and received by August 7, 2025, to be eligible for the Contest. All mailed entries become the property of Sponsor and will not be returned or acknowledged. If you take the steps above, you will receive one (1) entry into the Contest (your “Entry”), subject to the limit below. 

Limit of one (1) total Entry per person, throughout the Contest Period, regardless of method of entry. If it is discovered that you have entered, attempted to enter, or used multiple accounts to enter more than the stated limit, you will be disqualified at the discretion of the Sponsor and/or your Entries will be void. Entries generated by script, macro or other automated means, which subvert the entry process, are void. 

By submitting an Entry, you hereby grant permission for your Entry to be posted on throtl.com or other websites. You agree that Contest Parties are not responsible for any unauthorized use of Entries by third parties. Contest Parties do not guarantee the posting of any Entry, nor that the posting of any such Entry indicates winning status. You agree that you will not use the Entry for any other purpose, including, without limitation, posting the Entry to any online social networks (other than for entry into this Contest), without the express consent of Sponsor in each instance.       

By submitting an Entry, agree to these Official Rules and you represent and warrant that the work submitted is original to you and that neither it nor its contents infringe upon or violate the rights of any third party. If your Entry includes likenesses of third parties or contains elements not owned by you, you must be able to provide legal releases for such use in a form satisfactory to Sponsor (if requested) or your Entry may be disqualified. Entries may not defame or invade the publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person’s personal or proprietary rights.

4.     JUDGING: During the Judging Period, a panel of qualified judges, selected by the Sponsor, in its sole discretion will score each Entry up to the maximum number of points allowed. Judging will be based on the following criteria: 

·       Market/Business Fit (33%) 

·       Current State of Car (33%) 

·       Modability and Potential (34%) 

Entries that do not contain all required entry information or are considered inappropriate for any reason are not eligible. The one (1) Entry with the highest score from the Judges will be deemed the potential winner. In the event of a tie, the Entry with the highest score for Current State of Car (between or among the tied Entries) will be the winner of the tie. If a tie remains, the Entry with the highest score for Modability and Potential (between or among the tied Entries) will be the winner of the tie. In the event a tie still remains, an additional “tie-breaking” a judge will be brought in to evaluate the tied Entries, based on the Judging Criteria above. Sponsor reserves the right not to award the prize if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries. Prize award is subject to verification of eligibility and compliance with these Official Rules. Decisions of the Judges and Sponsor as to the determination of the winner are final.

5.     WINNER NOTIFICATION: Sponsor will have complete discretion over interpretation of the Official Rules and of administration of the Contest. The potential will be notified by email within forty-eight hours following the end of the Judging Period and will be required to take all necessary steps to claim the prize. As part of the verification process, the potential winner must complete and submit a Declaration and Release Form (“Declaration”) confirming compliance with the Official Rules within forty-eight (48) hours of the Sponsor’s timestamp of notification. Sponsor shall have no liability for potential winner’s failure to receive notices due to spam, junk email or other security settings or for potential winner’s provision of incorrect or otherwise non-functioning contact information. If the potential winner cannot be contacted, is ineligible, fails to take all of the required steps to claim the prize within forty-eight (48) hours from the time notification was sent, or fails to timely return the completed and executed Declaration as required, the prize may be forfeited and an alternate potential winner may be selected using the process described above. Parents or legal guardians of a potential winner who is under the age of nineteen (19) in Alabama or Nebraska may be required to also sign the Declaration in order for the potential winner to be qualified to receive the prize. Prize will be awarded only upon winner redemption, confirmation, verification, and final approval by Sponsor, as set forth above. No substitution, transfer of any prize or cash alternative permitted, except by Sponsor who reserves the right, in its sole discretion, to substitute a prize of equal or greater value, if prize, or portion of prize, becomes unavailable. 

6.     PRIZE/PRIZE RESTRICTIONS: The one (1) winner will receive an up to $10,000 makeover for throtl to customize and modify winner’s car depicted in the Entry (the “Vehicle”), round trip transportation of the Vehicle between the winner’s residence and San Diego, California, roundtrip coach class airfare for the winner and one (1) guest to San Diego, California, and two (2) nights hotel accommodation (single room, double occupancy) for the winner to attend an “unveiling” of the Vehicle makeover in San Diego, California. Sponsor will work with the winner through September 15, 2025 to coordinate updates. Sponsor will complete Vehicle makeover/re-build through November 15, 2025. Vehicle will be presented to the winner on or about November 15, 2025. Sponsor will release a video documenting the Vehicle makeover/re-build on its website or other video platforms on or about November 28, 2025. Timelines provided above are estimates and may change due to events outside of Sponsor’s control. All elements of the makeover are subject to availability. The approximate retail value (“ARV”) of the prize is up to $18,000. Actual retail value of the prize may vary depending on the elements required for the makeover, point of departure, travel dates and fare/rate fluctuations. If the actual value of the prize is less than the stated ARV, the difference will not be awarded. All travel arrangements must be made through the Sponsor or Sponsor’s designee. Certain restrictions may apply.

All customization and modifications are considered “AS IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Actual value may differ based on modifications selected and fluctuations in the cost of supplies outside of Sponsor’s control. The Sponsor is not responsible for, and Winner will not receive the difference, if any, between the actual value of the prize at the time of award and the stated ARV in these Official Rules or in any Contest-related correspondence or material. The specifics of the prize shall be solely determined by the Sponsor

The winner understands and agrees that the makeover process, including any winner presentation of the Vehicle, will be videotaped/photographed. Rights to any prize ceremony video/photo belong solely to the Sponsor and can be used in any media at their sole discretion.

Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any prize-related services or accommodations. Sponsor is not liable for any missed events, opportunities or expenses incurred as a consequence of flight cancellation/delay or ground transportation delay. No refund or compensation will be made in the event of the cancellation or delay of any transportation or other prize element except at the sole and absolute discretion of Sponsor. Winner and guest are responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. The winner will be required to provide a credit card at the time of hotel check-in. Winner’s guest must execute liability/publicity releases prior to issuance of travel documents. Once a guest is selected, he/she may not be substituted, except in Sponsor’s sole and absolute discretion. Travel is subject to the terms and conditions set forth in these Terms & Conditions, and those set forth by Sponsor’s transportation carrier(s) of choice. Lost, stolen or damaged airline tickets, travel vouchers or certificates will not be replaced or exchanged. All expenses not specifically mentioned herein are not included as part of the prize package, and are solely the winner’s responsibility, including, but not limited to: hotel taxes, additional ground transportation at the winner’s destination, travel insurance, room service, bag check fees, parking fees, laundry service, food, alcoholic beverages, merchandise, souvenirs, telephone calls, tips, gratuities and service charges. Transportation carrier and hotel regulations and conditions apply. Travel and lodging are subject to availability, and any changes made to either of these will be at the expense of the winner.

7.     OWNERSHIP OF ENTRIES:  By submitting an Entry, you agree to be bound by these Official Rules and grant Sponsor an exclusive, fully paid-up and royalty-free, worldwide license to use, modify, delete from, add to, publicly perform, publicly display, reproduce and translate your Entry, including without limitation the right to distribute all or part of your Entry in any media formats through any media channels. By submitting an Entry, you consent to the use, by Sponsor, its affiliates, subsidiaries, parents, and licensees, of your name, likeness, and image, in connection with the Event and Sponsor’s related marketing activities, in any media or format now known or hereafter invented, in any and all locations, without any payment to or further approval from you. You agree that this consent is perpetual and cannot be revoked.  For uses beyond the consent that you grant above, you agree that Sponsor’s use of your personal data will be governed by the Privacy Policy posted on the Sponsor website.  With respect to photographs, entrant grants to Sponsor the sole and (either exclusive or non-exclusive) right to use, print, publish, distribute, create derivative works, license and sublicense any of these rights and to otherwise fully exploit said rights in any media now known or hereinafter invented throughout all Worlds now known or hereinafter discovered in perpetuity.  Sponsor may exercise the rights granted for the full term of copyright (including any renewals and extensions) provided by law in each country, under any copyright laws now or hereafter in force.

8.     MISCELLANEOUS: Contest Parties are not responsible for late, lost, incomplete, corrupted, stolen, garbled, damaged, delayed, undelivered or misdirected Entries, all of which are void. Online Entries will be considered to be entered by the authorized account holder of the email address submitted at time of entry and he/she must comply with these Official Rules. The authorized account holder is deemed as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. By entering the Contest, you recognize and agree that the registration information provided by you will be made available to Sponsor; use of such information will be governed by Sponsor’s privacy policy found at https://throtl.com/policies/privacy-policy. Upon entering the Contest and/or accepting the prize, winner grants Sponsor the right to print, publish, broadcast, and use world-wide in any media now known or later developed, the winner's name, Entry, portrait, picture, voice, likeness, city and state of residence, and biographical information for any purpose, including but not limited to, in advertisements, publicity, and other communications, worldwide, in perpetuity, without additional compensation, notification or permission, except where prohibited by law. You agree to comply with these Official Rules and the decisions of the Sponsor and judges shall be binding and final. 

9.     RELEASE: As a condition of entering the Contest, you agree that (1) under no circumstances will you be permitted to obtain awards for, and you hereby waives all rights to claim punitive, incidental, consequential or any other damages, and any claims, judgments or awards shall be limited to actual out-of-pocket expenses; (2) all causes of action arising out of or connected with this Contest, or any prizes awarded, shall be resolved individually, without resort to any form class action; and (3) in no event will you be entitled to receive attorneys’ fees. BY ENTERING THE CONTEST, YOU AGREE TO RELEASE, DISCHARGE AND HOLD HARMLESS CONTEST PARTIES AND THE RESPECTIVE OFFICERS, DIRECTORS, AND AGENTS OF EACH, FROM ANY AND ALL LIABILITY FOR ANY INJURY, LOSS, OR DAMAGE OF ANY KIND TO PERSONS, INCLUDING DEATH, AND PROPERTY, WHETHER DIRECT OR INDIRECT, WHICH MAY BE DUE TO OR ARISE OUT OF PARTICIPATION IN THE CONTEST OR ANY PORTION THEREOF, OR THE ACCEPTANCE, USE/MISUSE OR POSSESSION OF PRIZES, OR ANY PRIZE-RELATED TRAVEL OR ACTIVITY. YOU WAIVE ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 

California Civil Code Section 1542 Waiver: In giving the releases set forth herein, which include claims which may be unknown at present, you hereby acknowledge that you have read and understand Section 1542 of the California Civil Code, which provides as follows: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” You hereby expressly waive and relinquish all rights and benefits under that section and any law or legal principle of similar effect in any jurisdiction with respect to your release of claims herein, including but not limited to the release of unknown and unsuspected claims hereunder.                    

All entrants, as a condition of participation in this Contest, release, discharge, indemnify and hold harmless the Contest Parties, Instagram, and each of their respective directors, officers, employees, agents, successors and assigns (collectively, “Released Parties”) from and against any and all liability, claims, costs (including attorneys’ fees), losses, damages, fines, or actions of any kind whatsoever for injuries, death, damages, or losses to persons or property which may be sustained, in whole or in part, directly or indirectly, in connection with: (i) participation in any aspect of the Contest (including travel to/from any Contest activity, if any), (ii) the receipt, ownership, use or misuse of any prize awarded, including any travel associated with any prize, (iii) the Released Parties’ violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; (iv) entrant’s/nominator’s registration material on any related website, or (iv) any typographical, human or other error in the printing, offering, selection, operation or announcement of any Contest activity and/or prize.

10.  DISCLAIMER: Contest Parties and Instagram are not responsible for printing or typographical errors in these Official Rules or in any Contest-related materials. Sponsor reserves the right, in its sole discretion, to disqualify any individual that tampers with the entry process. Sponsor also reserves the right to terminate, suspend, cancel or modify the Contest and award the prizes for the Contest from among all eligible, non-suspect Entries received (i) as of the date of termination using the judging procedure outlined above if for any reason this Contest is not capable of running as planned due to any reason, including infection by computer virus, bugs, tampering, fraud, unauthorized intervention, technical failures or other causes that may corrupt or impair the integrity, fairness or proper play of the Contest. Contest Parties are not responsible or liable for any events which may cause errors and/or the Contest to be stopped, including but not limited to any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Entries, nor are they responsible for any problems or technical malfunction of any telephone, network or telephone lines, computer on-line systems, servers, or cable, satellite, or Internet Service Providers, computer equipment, software or any other failure of any email or Entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any web site, or any combination thereof, including any injury or damage to yours or any other person's computer relating to or resulting from participation in this Contest or downloading any materials in this Contest. Contest Parties are not responsible for computer, mechanical, technical, electronic, network or other errors or problems, including any errors or problems that may occur in connection with the administration of the Contest, the processing of Entries, or in any other Contest-related materials. Contest Parties may stop you from participating in this Contest if you violate Official Rules or act, in Sponsor’s sole discretion: (a) in a manner Sponsor determines to be not fair; (b) with an intent to annoy, threaten or harass any other entrant or the Sponsor; or (c) in any other disruptive manner. Should more prizes be awarded through a computer, hardware, or software malfunction, error or failure, or for any other reason, in any prize category, than are stated for that category in the Official Rules, Sponsor reserves the right to award only the number of prizes stated in the Official Rules for that category. In no event will more than one (1) prize be awarded in this Contest. CAUTION: ANY ACT OR ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, CONTEST PARTIES RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL(S) TO THE FULLEST EXTENT PERMITTED BY LAW. 

11.  CHOICE OF LAW AND JURISDICTION: Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrants or winners, Sponsor, and Administrator in connection with this Contest, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of California or any other jurisdiction), which might otherwise cause the application of the laws of any jurisdiction other than the State of California. Any action seeking legal or equitable relief arising out of or relating to the Contest or these Official Rules shall be brought only in the courts of the State of California. You hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum non-convenience or lack of personal jurisdiction they may have.

12.  TAX INFORMATION: All federal, state, local, and other taxes on prizes and any other costs and expenses associated with prize acceptance and use not specified herein as being provided, are the sole responsibility of the applicable winner. A 1099 tax form will be issued to the Grand Prize winner.

13.  WINNER LIST: To receive the name of the prize winner, send a #10 self-addressed stamped envelope for receipt by October 15, 2025 to: throtl Dream Build #11 Contest - Winner List Request, c/o Realtime Media, 1001 Conshohocken State Road, Suite 2-100, West Conshohocken, PA 19428.
