THROTL VIP MEMBERSHIP TERMS

These throtl VIP Membership Terms (“Membership Terms”) were last updated May 12, 2025.

Please review these Terms carefully for throtl VIP.

throtl, Inc. (“throtl,” “we,” or “us”) provides membership program (the “Membership”), subject to your agreement to, and compliance with, these Membership Terms. These Membership Terms are incorporated by reference into the Terms of Use, available at https://www.throtl.com/terms-of-use.com.

throtl offers 2 tiers of the Membership, Gold Tier and Silver Tier. You acknowledge and agree that your choice to purchase a Membership is optional. throtl may revoke, change, discontinue or cease to make available, any portion of the Membership or the Membership in its entirety, at any time in throtl’s sole discretion with or without notice to you.

You understand and agree that the Membership automatically renews on an annual basis, unless you opt out of renewal prior to the end of the then-current subscription term by clicking on the applicable non-renewal link within your user account.

Gold Tier

1.      Fees: Total fees for Gold Tier are $119.99 annually, charged in advance and on each anniversary of the membership thereafter, plus any applicable taxes.

2.      Benefits:

a.      Annual box of throtl swag including a T-shirt.

b.      Sweepstakes Entries

                                                        i.            Entry into the quarterly sweepstakes for vehicle giveaway based on the terms of which are available at: https://throtl.com/pages/official-sweepstakes-rules (the “Vehicle Giveaway Sweepstakes”), which permits you to gain access to submission form once logged into VIP member account.

·       You will earn 5 entries (which the number of entries may be adjusted by throtl as expressly stated on the site related to special promotions) to the Vehicle Giveaway Sweepstakes for every $1 spent on the Domain (defined below) while you are an active member.

·       In addition, you earn 50 additional entries each month (credited on approximately the same day of the month of your membership start date) for each Vehicle Giveaway Sweepstakes while you are an active member.

                                                       ii.            Entry into the sweepstakes for throtl Dream Build which allows you to submit your vehicle to throtl for certain rebuild services, the terms of which are available at: https://throtl.com/pages/dream-build-rules (the “Dream Build Sweepstakes”), which permits you to gain access to submission form once logged into VIP member account.

c.      Free shipping on orders over $99.

d.      Access to exclusive throtl Facebook group.

Silver Tier

1.      Fees: Total fees for the Silver Tier are $49.99 annually, charged in advance and on each anniversary of the membership thereafter, plus any applicable taxes.

2.      Benefits:

a.      Sweepstakes Entries

                                                              i.      Entry into the Vehicle Giveaway Sweepstakes (as defined above under the Gold Tier), which permits you to gain access to the submission form once logged into VIP member account.

                                                             ii.      Entry into the Dream Build Sweepstakes (as defined above under the Gold Tier), which permits you to gain access to submission form once logged into VIP member account.

                                                           iii.      You will earn 5 entries (which the number of entries may be adjusted by throtl as expressly stated on the site related to special promotions) to the Vehicle Giveaway Sweepstakes for every $1 spent on the Domain (defined below) while you are an active member.

b.      Free Shipping on orders over $99.

c.      Access to exclusive throtl Facebook group.

VIP Cash Rewards (the following terms and conditions apply to both Gold and Silver Tier memberships:

a.      Program:

                                            i.            The Membership provides certain cash rewards (“VIP Cash Rewards”) to individual consumers that make purchases through www.throtl.com (the “Domain”).

                                           ii.            VIP Cash Rewards equal 5%, 10%, or 20%, as set forth below, of the Purchase Price for purchases made through the Domain or via telephone. For purposes of earning VIP Cash Rewards, “Purchase Price” is the price paid for goods after any coupons or discounts are applied, before shipping, fees, or tax is imposed. Purchases of gift cards do not earn VIP Cash Rewards. VIP Cash Rewards are not earned on the initial or recurring charge for the Gold or Silver VIP Membership. 

                                         iii.            VIP Cash Rewards may be redeemed on the next purchase made through the Domain or via the phone, or VIP Cash Rewards may be accumulated, subject the expiration terms set forth herein. VIP Cash Rewards will be redeemed as cash during the checkout process.

                                         iv.            Except as expressly stated above under the Program terms, rewards have no cash value. Rewards are non-transferrable to any other person or entity. Rewards are not purchasable separately.

b.      Eligibility: VIP Cash Rewards are open to U.S. residents (excluding Guam, Puerto Rico, U.S. Virgin Islands and territories) 18 years or older that are participating in the Gold Tier Membership or Silver Tier Membership.

c.      Expiration: Cash Reward expire no less than 6 months from the date of issuance.

d.      Earning: Purchases made through the Domain earn the following VIP Cash Rewards, which shall be added within 24 hours of order shipment:

                                            i.            5% VIP Cash Reward on purchases sitewide

                                           ii.            10% VIP Cash Reward on purchases of brands owned by throtl or certain affiliates

                                         iii.            20% VIP Cash Reward on purchases of open box/select apparel

e.      Returns:

                                            i.            If a purchase earned VIP Cash Rewards, and such purchase is returned, throtl will remove the earned VIP Cash Reward from the purchaser’s Membership account.

                                           ii.            If a purchase was made using VIP Cash Rewards, and such purchase is returned in compliance with the terms of sale, throtl will add the earned VIP Cash Reward back to the purchaser’s Program account. Such credited VIP Cash Rewards will expire on its original expiration date.  In the event such expiration date has already passed, purchaser will have no less than 1 month from the credit date before final expiration of such reward.

                                         iii.            If a purchase earned VIP Cash Rewards, and the purchase is returned after such VIP Cash Rewards were redeemed, the refund amount for such purchase will be reduced by the amount of redeemed VIP Cash Rewards.

1.      For example, if the Purchase Price of Order A is $100, the purchaser earns $10 in VIP Cash Rewards. If those VIP Cash Rewards are used on a subsequent purchase and then Order A is returned, the refund amount for Order A will be $90.

throtl may remove VIP Cash Rewards from a user’s Membership account and/or suspend access to the Program, in its sole discretion, if it is determined that a member is attempting to use the return system to fraudulently earn VIP Cash Rewards or abusing the Program.

Disputes

Any dispute related to, or arising from, the Membership shall be resolved by final and binding arbitration instead of through courts of general jurisdiction or through class action. Participants in the Membership waive the right to participate in any class action claims.

DISCLAIMER AND LIABILITY.

THE MEMBERSHIP IS PROVIDED ON A STRICTLY “AS-IS” BASIS AND WITH ALL FAULTS. THROTL DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES REGARDING THE MEMBERSHIP, WHETHER EXPRESS, IMPLIED OR STATUTORY, AND EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

YOU ACKNOWLEDGE AND AGREE THAT YOUR PARTICIPATION IN THE MEMBERSHIP IS OPTION AND AS SUCH, TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THROTL, OUR OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUBSIDIARIES, PARENTS, JOINT VENTURES, SUCCESSORS AND ANY OTHER COMPANIES UNDER COMMON CONTROL WITH US, OR ANY INDEPENDENT CONTRACTORS, BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFIT OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR IN ANY WAY RELATED TO YOUR RELATIONSHIP WITH THROTL, INCLUDING YOUR MEMBERSHIP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE MEMBERSHIP IS AT YOUR SOLE DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES AND/OR LOSSES RESULTING THEREFROM. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR IN ANY WAY RELATED TO THE MEMBERSHIP, WILL AT ALL TIMES BE LIMITED TO AMOUNTS YOU'VE PAID THROTL FOR THE MEMBERSHIP IN THE PRIOR 12 MONTHS.  TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND THROTL AGREE THAT ANY CLAIM BETWEEN US MUST BE BROUGHT WITHIN TWO (2) YEARS.

SOME JURISDICTIONS, INCLUDING NEW JERSEY, DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OF CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU AND YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION.
